Vendor Terms

These Vendor Terms and Conditions ("Agreement") govern the relationship between you ("Vendor", "Partner", or "Reseller") and Kiyo Solutions Pvt. Ltd. ("Company", "we", "our", "us") for promoting, selling, or distributing our product KiyoWap, a WhatsApp-based communication platform. By signing up or partnering with us, you agree to abide by the terms outlined below. 1. Eligibility & Approval Vendors must apply through our official registration process. Approval is subject to background checks, business verification, and compliance with our internal policies. Kiyo Solutions reserves the right to approve or reject any application at its sole discretion. 2. Vendor Responsibilities Market and promote KiyoWap in an ethical and professional manner. Accurately represent KiyoWap’s features, pricing, and capabilities. Provide pre-sales support to potential customers. Avoid making unauthorized promises, discounts, or guarantees not approved by Kiyo Solutions. 3. Pricing & Commission Commission structures will be shared in a separate Reseller Agreement or onboarding document. All sales must comply with KiyoWap’s published pricing, unless a special rate is authorized in writing. Commissions are payable only on fully paid and active customer subscriptions. 4. Brand Use & IP Vendors are permitted to use the KiyoWap brand, logo, and promotional materials solely for sales and marketing purposes. All intellectual property remains the sole property of Kiyo Solutions Pvt. Ltd. Misuse or alteration of branding assets is strictly prohibited. 5. Confidentiality Vendors must maintain confidentiality of all non-public information shared by Kiyo Solutions, including client data, commission structures, product roadmaps, and internal processes. 6. Compliance Vendors must comply with all applicable laws, including data protection, anti-spam (e.g., WhatsApp policies), and digital marketing laws. Vendors are responsible for ensuring that their clients use the platform in compliance with WhatsApp’s Business Policy and KiyoWap’s Acceptable Use Policy. 7. Termination Either party may terminate this agreement with 15 days written notice. Breach of terms, unethical conduct, or brand misuse may result in immediate termination. On termination, the vendor must cease all use of branding and marketing materials. 8. Limitation of Liability Kiyo Solutions shall not be liable for indirect, incidental, or consequential damages, including lost profits, even if advised of such. Total liability, if any, will not exceed the commissions earned by the vendor in the past 3 months. 9. Dispute Resolution In case of disputes, both parties agree to attempt resolution amicably. Jurisdiction for legal matters will be Hyderabad, Telangana, India. 10. Modifications Kiyo Solutions reserves the right to modify these terms at any time with prior notice.
